• Investment Banking
• Capital Markets
• Private Client Activities
• Asset Management
• Property Activities
Their strategic goals are motivated by the desire to develop an efficient and integrated business on an international scale through the active pursuit of clearly established core competencies in the group’s principal business areas.
The group’s philosophy has been to build well-defined, value-added businesses focusing on serving the needs of select market niches where the group can compete effectively.

Your responsibilities will include

• Confidentiality Agreements:
Draft and/or review and negotiate

• Compliance, Support and SARB:

Manage adherence to compliance requirements, for instance:
o All confidentiality agreements to be reviewed and counterparties approved by compliance before execution;
o Consultants to ensure FICA requirements are met;
o Consultants to sign off on support checklists;
o Transaction documents to be executed by authorized signatories only (both from an internal and client perspective);
o Legal sign off of fulfillment of all credit requirements for execution;
o Legal sign off of fulfillment of all conditions precedent to first advance; and ensure continued compliance with SARB requirements.

• Credit:

o Review (and amend, to the extent required) minutes;
o attend credit meetings;
o ensure implementation of credit requirements in finance and project documents; and
o Manage continued compliance with credit requirements both pre-and post completion

• Term sheets:

o advise with structure from a legal perspective, ensuring that legal risks are appropriately allocated and mitigated via appropriate techniques and products;
o manage implementation from a legal perspective; and draft and/or review and negotiate.

• Mandate letters:

o draft and/or review and negotiate.

• Finance documents (including security documents) and Project documents:

o review and lead negotiation;
o manage execution of transaction;
o lead fulfillment of all conditions precedent to financial close and manage closing of transaction; and post closing monitoring of transaction.

• External counsel:

o Lead external counsel’s relationship with consultant and client (for instance, co-ordination of meetings, negotiations, execution, closing and monitoring of transaction); and manage legal spend.

• Restructure/work outs/ distressed debt:
o in addition to the above specifications, manage from a legal perspective;
o lead liaison with creditors and authorities; and ensure compliance with SARB requirements.

Other:
o continued current awareness of, and developments in, applicable legislation; and manage control and safe custody of original documents.

The successful candidate will posses:
• LLB or BCom Law degree
• Admitted Attorney
• Minimum of 5-8 years Project Finance experience in a Bank or Legal Practice
